Mutual Non-Disclosure Agreement
1. Parties
This Mutual Non-Disclosure Agreement (the "Agreement") is made on 6 November 2026 between [Party A name] and [Party B name].
2. Purpose
In connection with evaluating a potential business relationship between the parties (the "Purpose"), each party (the "Disclosing Party") may disclose confidential information to the other party (the "Receiving Party").
3. Confidential Information
"Confidential Information" means non-public information, in any form, that is marked confidential or that a reasonable person would understand to be confidential, including business plans, financial data, customer lists, software, designs and technical information.
- It does not include information that is or becomes public through no fault of the Receiving Party.
- It does not include information the Receiving Party already knew, received lawfully from a third party, or developed independently without using the Confidential Information.
4. Obligations
The Receiving Party shall:
- use the Confidential Information only for the Purpose;
- keep it secret with at least the care it uses for its own confidential information, and no less than reasonable care;
- share it only with employees and advisers who need to know and are bound by confidentiality duties at least as strict as these.
5. Required disclosure
If the Receiving Party is required by law, regulation or court order to disclose Confidential Information, it shall give the Disclosing Party prompt written notice where permitted and disclose only what is legally required.
6. Return of materials
On written request, or when this Agreement ends, the Receiving Party shall promptly return or securely destroy all Confidential Information and confirm in writing that it has done so.
7. No licence
All Confidential Information remains the property of the Disclosing Party. Nothing in this Agreement grants a licence or any right in it, and it is provided "as is" without warranty.
8. Remedies
The parties agree that unauthorised disclosure may cause harm that money cannot fully repair, and that the Disclosing Party may seek injunctive relief in addition to any other remedy.
9. Term
This Agreement lasts for 2 years from the date above. The duty to protect Confidential Information continues for 3 years after it ends, and for as long as any trade secret remains a trade secret.
10. General
- This Agreement is governed by the laws of [governing law, e.g. England and Wales].
- It is the entire agreement on this subject and can be changed only in writing signed by both parties.
- If a provision is unenforceable, the rest stays in effect.
- Neither party may assign this Agreement without the other's written consent.
2 blanks in [square brackets] still to fill in.

How to use the nda and freelance contract generator
Draft an agreement in minutes
Choose Mutual NDA, One-way NDA or Freelance contract, enter the parties and switch clauses on or off. The preview shows the full text as you work.
NDAs
- Enter both parties and the purpose of the disclosure, for example evaluating a partnership.
- Set the term of the agreement and how many years secrecy lasts after it ends.
- Turn clauses on or off: return or destruction of materials, no licence, disclosure required by law, injunctive relief and non-solicitation.
- Enter the governing law, for example the country or state whose courts will decide disputes.
Freelance contract
- Describe the services and deliverables as precisely as you can. Vague scope is the main cause of disputes.
- Set a fixed or hourly fee, payment period, start and end dates.
- Choose protections: revision rounds, late-payment interest, a kill fee, ownership transfer after full payment, confidentiality, independent-contractor status and a liability cap.
- Set the notice period either side must give to end the work.
Before you sign
- Fill every [square bracket]; the preview counts the blanks left.
- Get a lawyer to read it if the value is high or the parties are in different countries.
- Sign two copies, or use an e-signature tool, and keep both parties' copies.

Frequently asked questions
Is this legal advice?
No. It is a template built from your answers. Laws differ by country and situation, so have a qualified lawyer review any agreement before you rely on it, especially for high-value or cross-border work.
Mutual or one-way NDA: which one do I need?
Use a one-way NDA when only one side shares secrets, such as a founder pitching an investor. Use a mutual NDA when both sides will share confidential information, for example when exploring a partnership.
How long should confidentiality last?
Two to five years is common for general business information. Trade secrets are often protected for as long as they stay secret. You can set the agreement term and how long secrecy survives it.
What do the clause toggles do?
Each switch adds or removes a clause, such as return of materials, injunctive relief, non-solicitation, late payment interest or a kill fee. The preview and every download update straight away.
